• Nouryon, a Dutch specialty chemicals company owned by Carlyle, has confidentially filed for a U.S. IPO that could value the business at around $13 billion, per Bloomberg.
• Advent International, Lone Star Funds, and Apollo Global Management are among bidders for Reckitt Benckiser's (LSE: RKT) homecare brands portfolio, which could fetch up to £5 billion.
• Cotiviti, a KKR portfolio company, acquired healthcare data platform Edifecs from TA Associates and Francisco Partners for around $3 billion.
• BC Partners, Permira, and TPG are among bidders for Sicit Group, an Italian biochemical company owned by NB Renaissance Partners, which could be worth around €1 billion.
• PAI Partners is exploring the sale of French grocer Euro Ethnic Foods, which could fetch around €1.5 billion, per Bloomberg.
• Columbus McKinnon Corporation (Nasdaq: CMCO) agreed to acquire Kito Crosby, a Texas-based machinery maker, from KKR for $2.7 billion.
• Gerresheimer AG (ETR: GXI), a German medical packaging manufacturer, has hired bankers to explore a potential sale that could value the company at €2.7 billion, per Bloomberg.
• Carlyle acquired controlling stakes in Highway Industries and Roop Automotives, two Indian auto parts manufacturers, with plans to combine the businesses.
• Legrand (Euronext: LR)'s subsidiary Enovation acquired Performation, a Dutch healthcare optimization software provider, from Gilde Healthcare.
• Olympus Partners acquired PAI Pharma, a Parsippany-based manufacturer of generic oral liquid medicines.
• Carlyle Group agreed to acquire Kaonavi, a Japanese HR software provider, for $325 million.
• Warburg Pincus agreed to acquire Vermont Information Processing, a beverage distributor software provider, in a deal valued at around $1 billion including debt.
• Steve Madden (Nasdaq: SHOO) agreed to acquire Kurt Geiger, a UK-based luxury footwear and accessories retailer, from Cinven for £289 million.
• Bain Capital agreed to acquire Apleona, a German facilities management provider, from PAI Partners for €4 billion.
• Praana Group agreed to acquire Owens Corning's (NYSE: OC) glass reinforcements business for $755 million.
• Global Infrastructure Partners hired Morgan Stanley and MUFG to explore the sale of its controlling stake in Vena Energy, a Singapore-based renewable energy company that could be valued at $10 billion, per Reuters.
• Gemspring Capital invested in Sitemetric, a Houston-based provider of security, safety, and workforce management solutions for construction.
• BGF invested in Paperchase Accountancy, a UK-based accounting and financial management firm focused on hospitality businesses.
• Canada Growth Fund, Goldman Sachs Alternatives, and Canada Pension Plan Investment Board invested $200 million in Hydrostor, a Canadian long-duration energy storage developer.
• Handgards, an El Paso-based portfolio company of Wynnchurch Capital, acquired Ohio-based Inno-Pak, a food packaging manufacturer, from Emerald Lake Capital Management.
• Aventia, a Lakewood, Colorado-based environmental consultancy backed by Bernhard Capital Partners, acquired St.Germain, a Maine-based environmental engineering firm.
• CaseWorthy, a portfolio company of STG, acquired Eccovia, a Salt Lake City-based provider of case management software for social services organizations.
• KKR is considering an investment in Nissan following the end of merger talks with Honda, per Bloomberg.
• Bluestar Alliance acquired Italian luxury streetwear brand Palm Angels from New Guards Group.
• Hidden Harbor Capital Partners acquired Coast to Coast Logistics, a Deerfield, Illinois-based drayage freight brokerage.
• Republic Services (NYSE: RSG) acquired Shamrock Environmental, a provider of industrial waste and wastewater treatment services, from CenterOak Partners.
• RF Investment Partners acquired S&K Building Services, an Indianapolis-based provider of window washing and exterior maintenance services for commercial properties.
• The Mara and Tisch families are exploring the sale of up to 10 percent of the New York Giants.
• Global Infrastructure Partners is in advanced talks to acquire a majority stake in Vale's renewable energy assets in a deal that could be valued at up to $1 billion, per Reuters.
• SailPoint, an Austin-based identity security software provider backed by Thoma Bravo, raised $1.38 billion in its Nasdaq IPO, pricing at $23 per share above its marketed range.
• PSG Equity invested $150 million in Uscreen, a Bethesda-based video monetization platform for creators.
• Purchase Capital invested in JETSET Pilates, a Reformer Pilates studio chain.
• Reliance Industries and Disney agreed to merge their Indian streaming platforms into an $8.5 billion joint venture combining JioCinema and Disney+ Hotstar.
• OpenAI rejected a $97.4 billion takeover bid from Elon Musk, who offered to withdraw the proposal if the company halts its planned conversion to a for-profit structure.
• Strive Medical, a portfolio company of NMS Capital, acquired Charles Pharmacy, a Bronx-based pharmacy and diabetes supplies provider.
• AmeriPro, a portfolio company of Whistler Capital Partners, acquired Priority Medical Transport, a Nebraska-based emergency medical services provider.
• Ageras, an Investcorp-backed Danish accounting marketplace, acquired Storebuddy, a Dutch e-commerce bookkeeping startup.
• Advent International, Bain Capital, and EQT are among potential buyers evaluating an $8.5 billion takeover of Trend Micro, a Japanese cybersecurity firm, per Reuters.
• J.C. Flowers & Co. acquired a majority stake in Infinite Investment Systems, a Canadian wealth management software provider.
• McNally Capital acquired Jewett Automation, a Richmond, Virginia-based manufacturer of industrial filtration equipment and automation solutions.
• Nautic Partners acquired Proud Moments ABA, a Brooklyn-based provider of autism therapy services, from Audax Private Equity.
• Hyatt Hotels Corporation (NYSE: H) agreed to acquire Playa Hotels & Resorts (Nasdaq: PLYA) for $2.6 billion in cash, or $13.50 per share.
• Novartis (NYSE: NVS) agreed to acquire the remaining stake in Anthos Therapeutics, a Boston-based blood thinner developer, from Blackstone for $925 million upfront plus up to $2.15 billion in earnouts.
• Johnson & Johnson (NYSE: JNJ) is exploring the sale of Cerenovus, its stroke care device unit, in a deal that could be valued at more than $1 billion, per the Financial Times.
• Multiples Alternate Asset Management agreed to acquire a controlling stake in QBurst, a Chantilly, Virginia-based product development firm, for $200 million.
• Bain Capital, Morgan Stanley Private Credit, and Newlight Partners invested $350 million in SelectQuote (NYSE: SLQT), a Medicare insurance policy distributor.
• BlackRock and Wellington invested $300 million in Archer Aviation (NYSE: ACHR), an eVTOL aircraft manufacturer.
• Rotunda Capital Partners invested in RMH Systems, a Waukee, Iowa-based provider of material handling, packaging, and automation solutions.
• BC Partners-backed United Group agreed to sell SBB to e& PPF Telecom Group and NetTV Plus to Telekom Srbija for total proceeds of €1.5 billion.
• Baker Tilly, a portfolio company of Hellman & Friedman and Valeas Capital Partners, agreed to acquire CironeFriedberg, a Connecticut-based accounting and advisory firm.
• Custom Veterinary Services, a Florida-based portfolio company of Align Capital Partners, acquired Green Mountain Animal, a Vermont-based pet supplement manufacturer.
• Solina, an Astorg portfolio company, acquired Sokol, an Illinois-based manufacturer of savory and sweet sauces, from Burlington Capital.
• United Energy Group acquired Apex International, a Houston-based MENA-focused oil and gas E&P firm, from Bluewater for $150 million.
• Fourshore Partners acquired Palm Coast Sales, a Jupiter, Florida-based distributor of outdoor kitchen appliances.
• The Riverside Co. acquired Wall Street Prep, a financial training and certification provider, from Eden Capital.
• Dave's Hot Chicken, a 250-location fast-casual restaurant chain, is exploring a sale that could value the business at around $1 billion, per Reuters.
• Conduent (Nasdaq: CNDT), a $700 million market cap business process outsourcing company, is exploring a sale following inbound private equity interest, per Reuters.
• Mizuho Financial Group (NYSE: MFG) is in talks to acquire Avendus Capital, an Indian investment bank, from KKR in a deal valuing the company at around $800 million, per Bloomberg.
• Clavis Capital Partners invested in ATEX Distributing, an Orlando-based wholesale HVAC equipment and supplies distributor.
• Platinum Equity invested in Global the Source, a Universal City, Texas-based distributor of HVAC/R components.
• EverSmith Brands, a portfolio company of The Riverside Co., acquired The Seals Franchising, a franchisor of refrigeration gasket replacement services for commercial kitchens.
• Pan-Am Dental, a Caymus Equity Partners portfolio company, acquired JB Dental Lab and Avaneer Dental Studio, expanding its dental laboratory presence to Arizona and Michigan.
FUNDRAISING
• Oaktree Capital Management raised $16 billion for its twelfth Opportunities Fund.
• PSG raised $6 billion for its sixth flagship fund and closed a $2 billion continuation fund for six portfolio companies.
• o15 Capital Partners raised $370 million for its inaugural Emerging America Credit Opportunities Fund, plus nearly $400 million in lower middle market co-investment vehicles.
• Coatue raised $249 million for its second climate tech venture fund, structured as an evergreen vehicle.
• Northrim Horizon raised $235 million for its third private equity fund focused on service and software businesses.
• Ulu Ventures, a seed-stage firm focused on diverse founders, raised $208 million for its fourth fund.
• NextView Ventures is raising up to $135 million for its sixth fund.
• IMB Partners raised $125.5 million for its debut buyout fund focused on utilities and government contracting.
• Junction Growth Investors, a Belgium-based energy transition investor, raised €115 million for its debut fund.
• Antler raised $100 million for its second Nordic-focused fund targeting early-stage startups.
